2. SERVICES OFFERED

Kelly Ritchie Breathwork offers the following categories of services and content:

a) Speaking Engagements – Live or virtual presentations, keynotes, panel appearances, and educational talks on breathwork and related wellness topics.

b) Workshops – In-person or virtual group sessions providing hands-on breathwork instruction, practice, and education.

c) Webinars – Online, live or pre-recorded educational sessions delivered via digital platforms.

d) Breathwork Sessions – Guided breathwork experiences offered in individual or group settings, in-person or virtually.

e) Retreats – Multi-hour or multi-day immersive experiences that may include breathwork, workshops, group activities, and related wellness programming.

f) Freebies – Complimentary digital resources such as guides, PDFs, videos, audio recordings, email series, or other downloadable content made available at no charge.

3. ELIGIBILITY

You must be at least 18 years of age to participate in our services. By registering or participating, you represent and warrant that you meet this age requirement. Minors may participate only with verifiable written parental or guardian consent and must be accompanied by a parent or guardian where applicable.

4. HEALTH DISCLAIMER AND ASSUMPTION OF RISK

The services offered by Kelly Ritchie Breathwork are for educational and informational purposes only and do not constitute medical advice, diagnosis, or treatment.

Breathwork and related wellness practices may involve physical, emotional, and psychological experiences including but not limited to: altered breathing patterns, dizziness, lightheadedness, tingling, emotional release, changes in body temperature, and heightened sensory awareness.

By participating in any of our services, you acknowledge and agree that:

a) You are voluntarily participating and assume all risks associated with such participation, including but not limited to physical injury, emotional distress, or exacerbation of pre-existing conditions.

b) You have consulted with a qualified healthcare provider regarding your ability to participate, particularly if you have any pre-existing medical or psychological conditions, including but not limited to: cardiovascular disease, respiratory conditions (such as asthma or COPD), epilepsy or seizure disorders, pregnancy, high or low blood pressure, a history of panic attacks, anxiety disorders, PTSD, or other trauma-related conditions, or any recent surgery or hospitalization.

c) You will immediately stop participation and seek medical attention if you experience any adverse symptoms during a session.

d) Kelly Ritchie is not a licensed medical professional, therapist, or mental health counselor, and nothing in our services should be construed as a substitute for professional medical or psychological care.

5. REGISTRATION AND PAYMENT

a) Paid Services. Certain workshops, breathwork sessions, webinars, and retreats require payment in advance. All fees are listed at the time of registration and are quoted in U.S. dollars unless otherwise stated.

b) Payment Processing. Payments are processed through third-party payment platforms. We do not store your payment information directly. Your use of third-party payment services is subject to their respective terms and privacy policies.

c) Confirmation. Your registration is not confirmed until full payment has been received and you have received a confirmation communication from us.

6. CANCELLATION AND REFUND POLICY

a) Participant Cancellations. If you need to cancel your registration, please contact us as soon as possible. Refund eligibility is as follows:

• Cancellations made 14 or more days before the event: Full refund.

• Cancellations made 7–13 days before the event: 50% refund or credit toward a future offering.

• Cancellations made fewer than 7 days before the event: No refund. A credit toward a future offering may be issued at our discretion.

b) Company Cancellations. We reserve the right to cancel or reschedule any event or service. In such cases, registered participants will receive a full refund or the option to transfer their registration to a rescheduled date.

c) Retreats. Due to the nature of retreat planning and third-party commitments, retreat cancellation and refund policies may differ and will be communicated at the time of registration.

d) Freebies. Free content is provided at no cost, and no refunds apply.

7. CODE OF CONDUCT

All participants are expected to engage respectfully, maintain confidentiality regarding other participants’ experiences, and comply with any guidelines or instructions provided by Kelly Ritchie or her team. We reserve the right to remove any participant from a session, workshop, retreat, or event—without refund—if their behavior is disruptive, disrespectful, or poses a safety concern.

8. INTELLECTUAL PROPERTY

All content provided through our services—including but not limited to written materials, audio and video recordings, presentations, graphics, worksheets, guides, and digital downloads—is the intellectual property of Kelly Ritchie Breathwork and is protected by copyright and other applicable intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from our content without prior written permission from Kelly Ritchie Breathwork. Freebies are licensed for personal, non-commercial use only unless otherwise stated.

9. PHOTO, VIDEO, AND TESTIMONIAL RELEASE

By participating in our events, workshops, retreats, or sessions, you grant Kelly Ritchie Breathwork permission to photograph, video-record, and use your likeness, voice, and testimonials for promotional, educational, and marketing purposes, unless you notify us in writing prior to the event that you do not consent. You may withdraw this consent at any time by contacting us in writing.

10. PRIVACY AND CONFIDENTIALITY

We are committed to protecting your personal information. Participants in group settings (workshops, retreats, breathwork sessions) agree to maintain the confidentiality of all other participants’ personal information and shared experiences.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Kelly Ritchie Breathwork, including Kelly Ritchie and any agents, employees, contractors, or affiliates, shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in any of our services, including but not limited to: physical injury, emotional distress, property damage or loss, loss of income or anticipated profits, or reliance on any information provided during our services.

Your sole and exclusive remedy for dissatisfaction with any service is to discontinue participation.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Kelly Ritchie Breathwork, Kelly Ritchie, and any agents, employees, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: your participation in any of our services, your breach of these Terms, your violation of any applicable law or regulation, or any negligent or wrongful act or omission on your part.

13. WAIVER AND RELEASE

By participating in any service offered by Kelly Ritchie Breathwork, you voluntarily waive and release Kelly Ritchie Breathwork, Kelly Ritchie, and any affiliated parties from any and all claims, demands, causes of action, and liabilities of any kind arising from your participation, to the fullest extent permitted by California law.

14. FORCE MAJEURE

Kelly Ritchie Breathwork shall not be held liable for any failure or delay in performing obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government orders, acts of terrorism, severe weather, power outages, or facility closures.

We are not responsible for the content, privacy practices, or functionality of any third-party platforms.
